The following provisions apply to all purchases of products via http://shop.proteogenex.com.
Orders
Customer’s receipt of an electronic or other form of order confirmation shall not be conclusive
of ProteoGenex’s acceptance of your order, nor shall it constitute confirmation of
ProteoGenex’s offer to sell. ProteoGenex reserves the right at any time
after receipt of any order to accept, decline, or limit the order for any reason. If Customer’s
credit card has been charged and an order is subsequently canceled, Customer shall receive
a prompt refund credit to your account. ProteoGenex shall not be liable to Customer
for orders that are not processed or accepted due to technical difficulties of this site. All
dates designated by ProteoGenex for the transfer of Biomaterials and Clinical
Information are subject to the availability of appropriate Biomaterials and Clinical Information.
Payment
Customer represents and warrants that (i) all credit card information Customer supplies to
ProteoGenex is true, correct and complete, (ii) charges incurred by Customer shall
be honored by the designated credit card company, and (iii) Customer will pay charges at the
posted prices, including all applicable taxes, if any. Customer shall make all payments to
ProteoGenex in United States dollars. All returns of Biomaterials and Clinical
Information, or refunds of payments made hereunder, are governed solely by ProteoGenex’s
Return Policy.
Return Policy
Biomaterials may not be returned without proper authorization by ProteoGenex.
Due to the temperature sensitivity of our products, we are unable to restock and resell returned
biomaterials if they have been used by customers. ProteoGenex reserves the right to
change the return policy without notice.
Advertising Disclaimer
In the event a product or service is listed at an incorrect price or with incorrect information,
ProteoGenex shall have the right to refuse or cancel any orders placed for products
or services listed at the incorrect price. ProteoGenex shall have the right to refuse
or cancel any such orders whether or not the order has been confirmed or Customer’s credit card
charged. If Customer’s credit card has already been charged for the purchase and the order is
subsequently cancelled, ProteoGenex shall immediately issue a credit to Customer’s
credit card account in the amount of the charge.
Hazardous Biomaterials
Biomaterials delivered pursuant to this Agreement are understood by the Parties to be experimental
in nature and may have hazardous properties. ProteoGenex makes no representations and
extends no warranties, either express or implied, as to the merchantability or fitness of the
Biomaterials or Clinical Information for a particular purpose.
Assumption of Risk
Except to the extent prohibited by law, Customer assumes all liability for damages that may arise
from the use, storage, processing or disposal of the Biomaterials and Clinical Information.
ProteoGenex will not be liable to Customer for any loss, claim or demand made by Customer,
or made against Customer by any other party, due to or arising out of the use of the Biomaterials or
Clinical Information, except to the extent caused by the negligence or willful misconduct of
ProteoGenex.
